These terms of service, together with any documents and additional terms they incorporate by reference (collectively, these "Terms"), are entered into between Rosestar SASU ("Rosestar", "we", "us", and "our"), a company registered in Paris, France (European Union), and you or the company or other legal entity that you represent ("you" and "your").
Rosestar offers the Services worldwide. However, access to certain features or regions may be restricted where prohibited by applicable law, regulation, sanctions, or embargoes.
These Terms, together with any Modifications (defined below), as well as all policies posted on our website and incorporated by reference herein, set out the terms on which we offer you access to and use of (a) the website located at rosestar.io and all relevant sub-pages associated with the foregoing URL (the "Site"), (b) the Rosestar mobile application (the "App"), and (c) any other applications, add-ons, tools, services and offerings provided by us that make reference to these Terms, including without limitation, smart contracts (collectively, the "Services").
THESE TERMS CONTAIN IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS, AND EXCLUSIONS THAT APPLY TO YOU. PLEASE READ THEM CAREFULLY.
BY USING OR ACCESSING THE SERVICES IN ANY MANNER, YOU AFFIRM, REPRESENT, AND WARRANT (A) THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS SET FORTH IN THESE TERMS (ALONG WITH ANY MODIFICATIONS), (B) THAT YOU HAVE THE RIGHT, AUTHORITY AND CAPACITY TO ENTER INTO THESE TERMS (ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT) AND MEET ALL OF THE ELIGIBILITY AND OTHER REQUIREMENTS, (C) THAT YOUR ACCESS AND USE OF THE SERVICES IS PERMITTED BY, AND SHALL NOT VIOLATE, ANY APPLICABLE LAWS, INCLUDING THOSE IN YOUR JURISDICTION.
IF YOU DO NOT AGREE TO THE CURRENT VERSION OF THE TERMS AND/OR ANY MODIFICATIONS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO REFRAIN FROM ACCESSING OR OTHERWISE USING THE SERVICES. YOU FURTHER ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND OUR PRIVACY POLICY.
DISPUTE RESOLUTION NOTICE. To the extent permitted by applicable law, and except for certain kinds of disputes described in Section 18 (Dispute Resolution), you agree that disputes arising under these Terms will be resolved through the mechanisms described therein. Nothing in these Terms affects any statutory rights you may have under applicable consumer protection laws, including those of the European Union or your country of residence.
If you use the Services on behalf of a company, organization, or other entity, then "you" includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on behalf of the entity.
1. GENERAL
Availability Worldwide. The Services are intended to be accessible globally, but may not be available in all jurisdictions and may be restricted to comply with applicable laws, sanctions, and regulatory obligations.
Rosestar is a social platform that enables creators to build communities, share content, and launch personal tokens on the Solana blockchain. Rosestar operates strictly as a technical infrastructure provider. Rosestar is not a wallet provider, exchange, broker, dealer, financial institution, payments processor, money services business, or creditor. Rosestar provides a peer-to-peer technical infrastructure that helps users discover and directly interact with each other, creator content, and Tokens available on public blockchains. We do not have custody or control over the Tokens or blockchains you are interacting with and we do not execute or effectuate purchases, transfers, or sales of Tokens. To use our Services, you must use a third-party wallet or an embedded wallet provided through our integration partners which allows you to engage in transactions on blockchains.
Platform Role and Token Economics. Rosestar does not receive any allocation of Creator Tokens. Rosestar does not own, control, or hold liquidity positions in any Creator Token. Rosestar's revenue is derived solely from service fees for platform usage. Creators receive 100% of the liquidity provider (LP) allocation for their tokens. Rosestar acts solely as a technical infrastructure provider, similar to platforms such as Shopify, Patreon, or other infrastructure-only service providers. Rosestar is not a co-founder, co-investor, or holder of token supply for any Creator Token.
We reserve the right to revise these Terms, at any time and from time to time, for any reason in our sole discretion by any written announcement or notice or by publishing an updated Terms without advance notice to you (the "Modifications"). These changes become effective immediately and, by continuing to access or use the Services after they become effective, you confirm your acceptance of the Modifications and all of the terms incorporated therein by reference effective as of the date of these Modifications. It is your sole responsibility to review the Terms from time to time to view such changes and to ensure that you understand the terms and conditions that apply when you access or use the Services.
2. ELIGIBILITY
2.1. Age Restrictions. You must be at least 18 years of age to use the Services. By agreeing to these Terms, you represent and warrant to us that: (i) you are at least 18 years old; (ii) you have not previously been suspended or removed from the Services; and (iii) your registration and your use of the Services is in compliance with any and all applicable laws and regulations. If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms.
2.2. Regulatory Compliance. By using the Services, you represent and warrant that: (a) you are not located in, ordinarily resident in, or organized under the laws of any jurisdiction that is subject to a comprehensive U.S. Government embargo ("Embargoed Jurisdiction"); (b) you are not subject to any sanctions administered by an agency of the U.S. Government, any other government, or the United Nations (collectively, "Sanctions"); (c) you are not owned or controlled, directly or indirectly, by any person that is subject to Sanctions, or that is located in, ordinarily resident in, or organized under the laws of, any Embargoed Jurisdiction; (d) none of your officers, managers, directors, shareholders or authorized representatives is subject to Sanctions, or is located in, ordinarily resident in, or organized under the laws of, any Embargoed Jurisdiction, or is owned or controlled, directly or indirectly, by any person that is subject to Sanctions or that is located in, ordinarily resident in, or organized under the laws of, any Embargoed Jurisdiction; (e) you have not transacted and will not transact with any person or entity falling into any of (a)-(d); (f) you have not transacted and will not transact for the benefit of any person or entity falling into any of (a)-(d). You further covenant that the foregoing shall be true during the entire period of your use of the Services. If you access or use the Services outside the United States, you are solely responsible for ensuring that your access and use of the Services in such country, territory or jurisdiction does not violate any applicable laws.
3. ACCESS TO OUR SERVICES
A blockchain wallet compatible with our Services (a "Wallet") is required to access our Services. Your account on the Services (your "Account") will be associated with the blockchain wallet address you use to connect to our Services. By using your wallet in connection with the Services, you agree that you are using that wallet under the terms and conditions of the applicable provider of the wallet. Once your account has been registered, you can add additional information to your profile. Your Wallet address, username (if applicable), and other information you voluntarily add to your profile may be publicly displayed on the Services when you connect your Wallet, and you consent to such public display. For additional information about your account and profile data, please see our Privacy Policy.
Wallets are not operated by, maintained by, or affiliated with Rosestar, and Rosestar does not have custody or control over the contents of your wallet and has no ability to retrieve or transfer its contents. Rosestar accepts no responsibility for, or liability to you, in connection with your use of a wallet and makes no representations or warranties regarding how the Services will operate with any specific wallet. You are solely responsible for keeping your wallet secure and you should never share your wallet credentials or seed phrase with anyone. If you discover an issue related to your wallet, please contact your wallet provider. Likewise, you are solely responsible for your Account and any associated wallet and we are not liable for any acts or omissions by you in connection with your Account or as a result of your Account or wallet being compromised. You agree to immediately notify us if you discover or otherwise suspect any security issues related to the Services or your Account.
You also represent and warrant that you will comply with all applicable laws in connection with using the Services. In order to comply with our legal obligations and keep our users and platform safe, we may need to restrict, suspend, or terminate your access to the Services without prior notice. You acknowledge that we are under no obligation to disclose the details of our decision to take such action with you.
We may require you to provide additional information and documents in certain circumstances, such as at the request of any government authority, as any applicable law or regulation dictates, to provide you with a requested service, or to investigate a potential violation of these Terms. In such cases, we, in our sole discretion, may disable your Account and block your ability to access the Services until such additional information and documents are processed by Rosestar. If you do not provide complete and accurate information in response to such a request, we may refuse to restore your access to the Services.
Your access and use of the Services may be interrupted from time to time for any of several reasons, including, without limitation, the malfunction of equipment, periodic updating, maintenance, or repair of the Services, geographic restrictions, potential violation of these Terms, or other actions that we, in our sole discretion, may elect to take. You understand that Rosestar, in its sole discretion, may disable your Account or restrict access through your Account to our Services.
4. WALLETS
4.1 Your Wallet. By connecting a Wallet to the Services, you agree to abide by the terms and conditions of the applicable Wallet provider. Turnkey provides wallet infrastructure and authentication services but does not control user funds. You must familiarize yourself with the terms of use, technology, and security protocols of any Wallet. We do not provide a crypto-wallet service and do not at any time have custody, possession, or control over your crypto assets or any other contents in your Wallet. You acknowledge and agree that we are not party to any transactions conducted while using our Services. We make no representations or warranties regarding how the Services will operate or be compatible with any specific Wallet. The private keys necessary to access the assets held in a Wallet are not held by the Company. You are solely responsible for maintaining the security of your Wallet, including your credentials, private key, passkeys, and/or seed phrase. We are in no way liable for any acts or omissions by you in connection with your Wallet or as a result of your Wallet being compromised. You should make contingency plans with respect to your Wallet in the event of your death or incapacity, otherwise you (and your executor, guardian, or heirs) may lose access to your Wallet, your account on the Services, and your crypto assets.
4.2. Embedded Wallet. If you do not have a Wallet, you can create one using the Services. Rosestar partners with Turnkey, a third-party non-custodial wallet infrastructure provider, to allow users to create a Rosestar account that includes a self-custodial Wallet that can be accessed via the Services ("Embedded Wallet"). By creating or using an Embedded Wallet in connection with the Services, you agree that you are using the Embedded Wallet under the applicable provider's terms and conditions. Only you can sign transactions and access and control your Wallet's contents. Rosestar does not have custody, possession, control, or otherwise have access to your Embedded Wallet or any assets that may be contained therein, and does not have access to or store any passwords, recovery phrases, private keys, passkeys, or any other credentials associated with user Wallets or your use of the Services. You are solely responsible for securing your Rosestar account and Embedded Wallet authentication credentials, passkeys, and private keys.
4.3. Recovery and Loss of Access. Your Embedded Wallet may be accessed through passkeys, email verification, or other authentication methods provided by our wallet infrastructure partner. Recovery options depend on the methods you have configured and the capabilities of the underlying wallet provider. Rosestar does not store your private keys and CANNOT recover your funds if you lose access to all configured authentication methods. If you lose your passkey, lose access to your email, or otherwise cannot authenticate, your crypto assets may be permanently unrecoverable. You accept this risk and agree that Rosestar bears no responsibility for lost or inaccessible funds due to credential loss, device loss, or authentication failure. We strongly recommend you understand your recovery options before depositing significant assets.
4.4. Assistance. If you notice any unauthorized or suspicious activity in Wallets that are related or linked to the Services, please notify us immediately at support@rosestar.io. However, Rosestar shall have no duty or obligation to assist you in connection with such activity related to a Wallet, including if you are unable to locate your Wallet credentials.
5. SERVICES AND PLATFORM FEATURES
5.1. Token Creation. The Services allow creators to launch personal tokens ("Creator Tokens") on the Solana blockchain through integration with the Meteora Dynamic Bonding Curve protocol. Creator Tokens are generally launched when a creator reaches a contribution threshold (currently $5 USD in tips and content unlocks) from their supporters. This threshold and the mechanics of token creation may change at Rosestar's discretion. Once a Token is created on the blockchain, its corresponding smart contract is immutable; the token update authority is set to immutable at creation, preventing post-launch manipulation. Protocol upgrades, integrations, or platform changes may affect how tokens are displayed or interact with the Services. Creators who enable token auto-launch are bound by the Creator Token Terms, which form part of these Terms of Service.
5.1.1. Liquidity Allocation and Vesting. For Creator Tokens, 100% of the liquidity provider (LP) allocation is assigned to the creator. Rosestar receives 0% LP allocation. Creator liquidity is subject to a vesting schedule: (a) 0% immediate access at launch; (b) 10% permanently locked forever; (c) 90% vesting over approximately 400 daily unlocks (approximately 0.225% of total LP per day, unlocking every ~22 hours). This means approximately 99.99% of liquidity is locked on day one post-migration and unlocks progressively over time. This vesting structure is designed to limit immediate liquidity withdrawal, reduce early-stage volatility risk, and demonstrate anti-rug intent.
5.1.2. Migration. When a Creator Token's bonding curve reaches a migration threshold (approximately 12 SOL market cap), the system automatically migrates the token to the Meteora DAMM v2 protocol, where a final liquidity pool is created. Migration thresholds and mechanics may change at Rosestar's or Meteora's discretion.
5.1.3. Protocol Risks. Token creation and trading rely on third-party blockchain protocols (including Meteora). You acknowledge risks including: (a) smart contract vulnerabilities or exploits; (b) protocol upgrades or changes that may affect token functionality; (c) migration failures or delays; (d) liquidity fragmentation across protocols; (e) dependency on external infrastructure beyond Rosestar's control. Rosestar is not responsible for failures, losses, or issues arising from third-party protocol operations.
5.2. Content Creation and Access Control. Creators can share content including text, images, and videos through the Services. Creators may set access controls on their content including: (a) public access (free for all users), (b) paid access (requires payment to unlock), or (c) token-gated access (requires holding a minimum amount of the creator's Token).
5.3. Peer-to-Peer Nature of Transactions. Transactions occurring on the Services are peer-to-peer in nature. As such, Rosestar is not party to any agreement between any users. You bear full responsibility for verifying the identity, legitimacy, and authenticity of Tokens with which you interact using the Services and we make no claims, guarantees, or recommendations about the identity, legitimacy, functionality, or authenticity of users or any Tokens (and any content associated with such Tokens) visible on the Services. To the fullest extent permitted by applicable law, you release Rosestar from responsibility, liability, claims, demands, and/or damages (actual and consequential) of every kind and nature, known and unknown (including claims of negligence), arising out of or related to disputes between users and the acts or omissions of third parties.
5.4. Fiat Onramp. The Services may integrate with third-party fiat onramp providers (such as Coinbase) to allow users to purchase cryptocurrency with fiat currency. Your use of any fiat onramp service is subject to the terms and conditions of the applicable third-party provider. Rosestar is not responsible for any issues arising from your use of third-party fiat onramp services.
5.5. Social Verification. The Services allow users to verify their social media accounts (such as Twitter, Twitch, TikTok, and others) to enhance trust and credibility. Verification status is displayed on user profiles but does not constitute an endorsement by Rosestar.
6. FEES AND PAYMENTS
6.1. Fee Types. The following fees may apply when using the Services:
(a) Platform Fee: A percentage of tips and content unlock payments retained by Rosestar for providing the platform infrastructure.
(b) Protocol Fee: A percentage of token trading fees paid to the underlying blockchain protocol (e.g., Meteora).
(c) Network Fee (Gas): Blockchain transaction fees paid to network validators. These are not retained by Rosestar and vary based on network congestion.
6.2. Current Fee Structure. As of the date of these Terms:
(a) Tips and Content Unlocks: 80% to creator, 20% to Rosestar.
(b) Creator Token Trading Fees: A total trading fee of 2% applies to token transactions, allocated as follows: 1% to the creator, 1% to Rosestar (as a platform service fee). Rosestar's revenue from token trading is limited exclusively to this service fee. Rosestar does not receive any token allocation, liquidity ownership, or other economic interest in Creator Tokens.
(c) Liquidity Pool Fees: Fees generated from the liquidity pool are distributed as follows: 40% to the creator, 40% to Rosestar, 20% to the Meteora protocol.
(d) Gas Fees: Variable, paid by the user initiating the transaction.
6.3. Fee Disclosure. The exact fees for any transaction will be displayed on-screen before you confirm the transaction. The on-screen disclosure controls in case of any discrepancy with these Terms. Estimated fees shown before confirmation may differ from actual fees due to network conditions or price fluctuations.
6.4. Fee Changes. We reserve the right to modify fee percentages at any time. Changes will be reflected in the on-screen disclosure before transaction confirmation. Continued use of the Services after fee changes constitutes acceptance.
6.5. Refunds and Reversals. All blockchain transactions are final and non-reversible. Rosestar cannot reverse, cancel, or refund any on-chain transaction once confirmed. If you make a fiat purchase through a third-party onramp that is later reversed, charged back, or disputed, we may suspend your account, revoke access to any content or perks obtained through that purchase, and pursue recovery of any amounts owed. Rosestar is not responsible for decisions made by third-party payment providers.
6.6. Currency Display. Prices may be displayed in USD, SOL, or other currencies for convenience. All blockchain transactions are executed in the applicable cryptocurrency. Exchange rates are provided by third-party sources and may fluctuate between display and execution. Fiat equivalents are estimates and may change based on exchange rates and network conditions.
7. CREATOR TOKEN RULES
If you create a Token through the Services, you agree to the following:
7.1. No Investment Representations. You shall not market, promote, or describe your Token as an investment, security, or financial instrument. You shall not promise, suggest, or imply: (a) returns, profits, yields, or dividends; (b) price appreciation, floor prices, or guaranteed value; (c) buybacks, burns, or supply manipulation to increase price; (d) any form of profit-sharing or equity in any entity.
7.2. No Market Manipulation. You shall not: (a) coordinate "pump" groups, signal groups, or organized buying/selling; (b) engage in wash trading, self-dealing, or artificial volume; (c) conduct or participate in "rug pulls" or abandonment schemes; (d) make false or misleading statements about your Token, project, or intentions.
7.3. Creator Obligations. If you offer paid content, token-gated access, or other perks, you are solely responsible for delivering what you promise. Disputes between you and your supporters are between you and them; Rosestar may, but is not obligated to, mediate or intervene.
7.4. Enforcement. Rosestar may, at its sole discretion: (a) remove or delist Tokens that violate these rules; (b) suspend or terminate creator accounts; (c) withhold or forfeit creator fee distributions; (d) report violations to relevant authorities. We are not required to provide advance notice or detailed explanations for enforcement actions.
8. CONTENT STANDARDS AND MODERATION
8.1. Prohibited Content. You may not post content that: (a) is illegal under applicable law; (b) infringes intellectual property rights; (c) contains malware, phishing links, or deceptive schemes; (d) promotes violence, terrorism, or hate against protected groups; (e) involves the sexual exploitation of minors; (f) constitutes harassment, doxxing, or threats against individuals; (g) is spam, scams, or misleading financial promotions.
8.2. Content Restrictions. Rosestar is not an adult content platform. Sexually explicit or pornographic content is strictly prohibited. However, non-explicit suggestive content (such as lingerie, swimwear, or artistic nudity that does not depict sexual acts) may be permitted at Rosestar's discretion. Creators are responsible for ensuring their content complies with applicable laws in all jurisdictions where it may be accessed and must appropriately label any suggestive content.
8.3. Reporting. Users may report content that violates these Terms through the reporting features in the Services or by contacting support@rosestar.io. We will review reports and take action as we deem appropriate.
8.4. Moderation Actions. We may, without prior notice: (a) remove or hide content; (b) add warning labels; (c) restrict account features; (d) suspend or terminate accounts; (e) report illegal content to authorities. Platform moderation does not constitute endorsement, validation, or approval of any content, creator, or Creator Token that remains on the platform. The absence of moderation action does not imply that content or tokens comply with these Terms or applicable law.
8.5. Appeals. If you believe moderation action was taken in error, you may appeal by contacting support@rosestar.io within 30 days. We will review appeals in good faith but are not obligated to reverse any decision.
8.6. Repeat Violations. Accounts with repeated violations of content standards may be permanently terminated. We may consider the severity, frequency, and nature of violations in determining consequences.
9. OWNERSHIP; PROPRIETARY RIGHTS
9.1. Our Rights. The Services are owned and operated by Rosestar. Unless otherwise indicated, the Services are our proprietary property, and all computer code (including source code or object code), products, databases, functionality, software, services, usernames, designs, visual interfaces, audio, video, text, photographs, compilations, graphics, and all other elements of the Services provided by Rosestar are protected by intellectual property and other laws of the United States and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services or Content. Except as expressly provided in these Terms, no part of the Services and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
9.2. Feedback. We respect and appreciate the thoughts and comments from our users. If you choose to provide input and suggestions regarding existing functionalities, problems with or proposed modifications or improvements to the Services ("Feedback"), then you hereby grant Rosestar an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right and license to exploit the Feedback in any manner and through any means now known or hereafter created, and for any purpose, worldwide, including to improve the Services and create other products and services. We will have no obligation to provide you with attribution or compensation for any Feedback you provide to us.
9.3. Your Rights. Except for the licenses granted by you to Rosestar, you retain all rights in and to your User Content (defined below), as between you and us.
10. USER CONTENT
10.1. Limited License Grant to Rosestar. By submitting, uploading, publishing, storing, broadcasting, or otherwise transmitting (collectively, "Posting") Content to or through the Services ("User Content"), you grant us a non-exclusive, assignable, sublicensable, revocable, royalty-free, fully paid-up license worldwide to reproduce, distribute, publicly display, communicate to the public, publicly perform, make available, create derivative works from, and otherwise use your User Content for the purposes of: (i) operating, providing, and improving the Services; (ii) displaying and sharing your User Content to other users of the Services; (iii) advertising, marketing and promoting Rosestar and the Services. For paid or token-gated content, this license includes the right to display previews, thumbnails, and promotional excerpts. Rosestar does not claim ownership of User Content.
10.2. You Must Have Rights to the Content You Post. You must not Post any User Content that violates these Terms or for which you do not have all the rights necessary to grant the licenses described herein. You represent and warrant that your User Content, the source and underlying materials used in creating the User Content, and our use of such content as permitted by these Terms, will not violate any rights of or cause injury to any person or entity. Rosestar disclaims any and all liability in connection with User Content. You are solely responsible for your User Content and the consequences of providing User Content via the Services. By providing User Content via the Services, you affirm, represent, and warrant to us that:
10.2.1. you are the creator and owner of the User Content, or have the necessary licenses, rights, consents, and permissions to authorize Rosestar and users of the Services to use and distribute your User Content as necessary to exercise the licenses granted by you in this Section, in the manner contemplated by Rosestar, the Services, and these Terms;
10.2.2. your User Content, and the Posting or other use of your User Content as contemplated by these Terms, does not and will not: (i) infringe, violate, misappropriate, or otherwise breach any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property, contract, or proprietary right; (ii) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (iii) cause Rosestar to violate any law or regulation or require us to obtain any further licenses from or pay any royalties, fees, compensation or other amounts or provide any attribution to any third parties; and
10.2.3. your User Content is not in violation of applicable law and could not be deemed by a reasonable person to be harassing, threatening, or hateful.
10.3. User Content Disclaimer. We are under no obligation to edit or control User Content that you or other users Post and will not be in any way responsible or liable for User Content. Rosestar may, however, at any time and without prior notice, screen, remove, edit, or block any User Content that in our sole judgment violates these Terms, is alleged to violate the rights of third parties, or is otherwise objectionable. You understand that, when using the Services, you will be exposed to User Content from a variety of sources and acknowledge that User Content may be inaccurate, offensive, indecent, or objectionable. You agree to waive, and do waive, any legal or equitable right or remedy you have or may have against Rosestar with respect to User Content. If notified by a user or content owner that User Content allegedly does not conform to these Terms, we may investigate the allegation and determine in our sole discretion whether to remove the User Content, which we reserve the right to do at any time and without notice. For clarity, Rosestar does not permit infringing activities on the Services.
11. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than that for which we make the Services available. Accounts engaging in any prohibited activities may be subject to immediate suspension or termination, including permanent deletion of the account. As a user of the Services, you agree not to:
11.1. use the Services in a manner inconsistent with any applicable laws or regulations, including using the Services to interact with blockchain protocols in a manner that is illegal or otherwise prohibited by law or regulation in any jurisdiction, or that is intended to harass, abuse, intimidate or violate the legal rights or privacy of any person;
11.2. use the Services in a manner that, on the basis of your potential future efforts, creates in others an expectation of profits in connection with any Token you created;
11.3. trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information;
11.4. harass, threaten, demean, embarrass, bully, or otherwise harm any other user of the Services;
11.5. violate, encourage others to violate, or provide instructions on how to violate, any right of a third party, including by infringing or misappropriating any third-party intellectual property right;
11.6. circumvent, disable, or otherwise interfere with security-related features of the Services;
11.7. use any software or networking techniques, including use of a Virtual Private Network (VPN) to modify your internet protocol address or otherwise circumvent or attempt to circumvent geographic restrictions or access controls;
11.8. make improper use of our support services or submit false reports of abuse or misconduct;
11.9. upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the Services;
11.10. attempt to impersonate another user or person;
11.11. interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services including denial of service attacks;
11.12. sell or otherwise transfer the access granted under these Terms;
11.13. attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services;
11.14. make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses;
11.15. engage in "front-running," "wash trading," "pump and dump" trading, "rug pulls" and similar market manipulation activities; or
11.16. attempt to do or assist or permit any person in engaging in any of the acts described in this Section 11.
12. THIRD-PARTY SERVICES
12.1. Third-Party Services and Linked Websites. The Services may display, include or make available services, content, data, information, applications or other materials from third-parties, including, but not limited to, third-party wallets, fiat onramp providers, and Tokens and other content made available on our Services by third-parties (collectively "Third-Party Materials"). We provide access to Third-Party Materials only as a convenience to you and do not have control over their content, do not warrant or endorse, and are not responsible for the availability or legitimacy of the content, products, or services on or accessible from those Third-Party Materials (including any related websites, resources, or links displayed therein). We make no warranties or representations, express or implied, about such Third-Party Materials, the third parties they are owned and operated by, the information contained on them, or the suitability of their products and services. Use of any Third-Party Materials is subject to any terms and conditions governing the Third-Party Materials. You acknowledge sole responsibility for and assume all risk arising from your use of any Third-Party Materials.
12.2. Blockchain Protocols. The Services integrate with third-party blockchain protocols including Meteora for token creation and trading, and Jupiter for token swaps. Your use of these protocols is subject to their respective terms and conditions. Rosestar is not responsible for any issues arising from your use of these third-party protocols.
13. COMPLIANCE AND DATA COLLECTION
13.1. Transaction Data. To comply with applicable laws and maintain platform integrity, we collect and retain transaction metadata including wallet addresses, transaction signatures, amounts, timestamps, token identifiers, and related blockchain data. This data may be shared with: (a) law enforcement or government authorities when required by law or legal process; (b) compliance vendors and service providers; (c) other parties as necessary to investigate fraud, security incidents, or Terms violations.
13.2. Geographic Restrictions. We may restrict access to the Services from certain jurisdictions based on legal requirements, sanctions compliance, or operational considerations. We may use IP addresses, device information, and other signals to enforce geographic restrictions. Attempting to circumvent these restrictions is a violation of these Terms.
13.3. Identity Verification. We may require identity verification for certain features, transaction thresholds, or when required by law. Failure to provide requested verification may result in feature restrictions or account suspension.
14. PRIVACY POLICY
Our Privacy Policy describes how we handle the information you provide to us when you use the Services. Our Privacy Policy is available on the Site under "Privacy Policy".
15. INTELLECTUAL PROPERTY RIGHTS
15.1. Respect of Third Party Rights. Rosestar respects the intellectual property rights of others, takes the protection of intellectual property rights very seriously, and asks users of the Services to do the same. Infringing activity will not be tolerated on or through the Services.
15.2. Notice and Takedown. If you believe content on the Services infringes your intellectual property rights, you may submit a notice to legal@rosestar.io including: (a) identification of the copyrighted work or other IP claimed to be infringed; (b) identification of the allegedly infringing material with sufficient detail to locate it; (c) your contact information; (d) a statement of good faith belief that the use is not authorized; (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the IP owner; (f) your signature (physical or electronic). We comply with the U.S. Digital Millennium Copyright Act (DMCA) and equivalent notice-and-takedown procedures under EU and other applicable laws.
15.3. Repeat Infringers. It is Rosestar's policy to: (i) remove or disable access to Content that Rosestar believes in good faith, upon notice from an intellectual property rights owner or authorized agent, is infringing the intellectual property rights of a third party being made available through the Services; (ii) notify the user who Posted the Content to the Services, that access to such Content has been removed or disabled; and (iii) in appropriate circumstances, terminate the accounts of and block access to the Services for any user who repeatedly or egregiously infringes other people's copyright or other intellectual property rights.
15.4. Counter-Notice. If you believe your content was removed in error, you may submit a counter-notice to legal@rosestar.io with the information required under applicable law. We will process counter-notices in accordance with the DMCA and equivalent procedures.
16. DIGITAL ASSETS
16.1. Nature of Tokens. Creator Tokens are digital utility assets that exist on the Solana blockchain. They are intended for community interaction, creator engagement, and platform-specific access features within the Rosestar ecosystem. Creator Tokens ARE: (a) utility assets for supporting creators and accessing creator content; (b) community engagement tools; (c) access credentials for token-gated content and features. Creator Tokens are NOT: (a) securities, investment contracts, or financial instruments; (b) equity, debt, or profit-sharing interests in Rosestar or any creator; (c) currency, stored value, or money; (d) guaranteed to have or retain any value; (e) representations of ownership in any entity or project.
16.2. Platform Role in Token Economics. Rosestar functions strictly as a technical infrastructure provider for Creator Token creation and trading. Rosestar does not: (a) own any allocation of Creator Tokens; (b) own or control liquidity positions; (c) participate in token speculation; (d) act as a co-issuer, co-founder, or financial participant in any Creator Token. Creators own 100% of the token economics and bear the financial and market risk associated with their tokens. Rosestar earns revenue solely through service fees for providing platform infrastructure.
16.3. Token Immutability and Security. Creator Tokens are deployed with immutable token update authority, meaning the token parameters cannot be modified after creation. This design choice prevents post-launch manipulation and reduces regulatory and reputational risk. However, users should understand that immutability also means errors in token creation cannot be corrected.
16.4. No Investment Purpose. You represent and warrant that you are not acquiring Tokens for speculative or investment purposes, and you understand that Tokens may have no value and may become worthless. You acknowledge that Rosestar makes no promises regarding the future value, utility, or transferability of any Token.
16.4.1. User Expectations. Purchasing or holding a Creator Token does not guarantee: (a) access to any specific creator, content, or interaction; (b) continued creator activity or engagement; (c) any particular level of platform features or services; (d) that the creator will continue using the platform. Creators are independent individuals who may reduce activity, leave the platform, or cease creating content at any time. You accept this risk.
16.5. Regulatory Uncertainty. The regulatory status of blockchain tokens is uncertain and evolving. Legislation, regulation, or court decisions at the state, federal, or international level may adversely affect your ability to use, transfer, or exchange Tokens, or may result in Tokens being classified as securities or other regulated instruments. You accept this regulatory risk.
16.6. Liquidity and Vesting Risks. Creator liquidity is subject to vesting, with 10% permanently locked forever and 90% vesting over approximately 400 daily unlocks. Once vesting is complete, creators may withdraw their unlocked liquidity (up to 90% of total LP). Users should understand that liquidity withdrawal by creators may affect token trading and value. Rosestar does not control or restrict creator liquidity actions beyond the protocol-enforced vesting and permanent lock requirements.
16.7. Transactions. All blockchain transactions are final, non-refundable, and non-reversible once confirmed on the blockchain.
17. INDEMNIFICATION
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Rosestar, and our respective past, present, and future employees, officers, directors, contractors, consultants, equity holders, suppliers, vendors, service providers, parent companies, subsidiaries, affiliates, agents, representatives, predecessors, successors, and assigns (individually and collectively, the "Rosestar Parties"), from and against all actual or alleged claims, damages, awards, judgments, losses, liabilities, obligations, taxes, penalties, interest, fees, expenses (including reasonable attorneys' fees), and costs of every kind arising out of or related to: (a) your use or misuse of the Services, content, or Tokens; (b) any Feedback you provide; (c) your violation of these Terms or applicable law; (d) your violation of the rights of any third party; and (e) your negligence or willful misconduct. Nothing in this section limits any statutory rights you may have under applicable consumer protection laws.
18. DISCLAIMERS; NO WARRANTIES BY ROSESTAR
18.1. THE SERVICES, ALL MATERIALS AND CONTENT AVAILABLE ON OR THROUGH THE SERVICES, ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
18.2. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT AND ASSUME NO LIABILITY FOR ANY: (i) ERRORS, MISTAKES, OR INACCURACIES; (ii) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SERVICES; (iii) UNAUTHORIZED ACCESS TO OUR SERVERS OR YOUR PERSONAL INFORMATION; (iv) INTERRUPTION OR CESSATION OF THE SERVICES; (v) BUGS, VIRUSES, OR OTHER HARMFUL CODE; (vi) ANY LOSS OR DAMAGE RESULTING FROM USER CONTENT.
18.3. WE ARE NOT LIABLE FOR ANY USE OF CRYPTO ASSETS, TOKENS, OR YOUR WALLET, INCLUDING: (i) USER ERROR OR MISTYPED ADDRESSES; (ii) SERVER FAILURE OR DATA LOSS; (iii) UNAUTHORIZED ACCESS; (iv) THIRD-PARTY ATTACKS, SCAMS, OR "RUG PULLS"; (v) PRICE FLUCTUATIONS; (vi) SOFTWARE OR BLOCKCHAIN VULNERABILITIES.
18.4. Blockchain Disclaimer. Blockchain transactions are irreversible when confirmed. You accept all risks associated with holding Tokens, including loss of access due to credential loss, and unknown smart contract vulnerabilities.
18.5. No Investment Advice. The Services do not provide legal, tax, or investment advice. Nothing on the Services is an offer to sell or solicitation to buy any financial instrument. You should consult your own advisors.
18.6. Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be excluded or limited under applicable law, including under EU consumer protection laws.
19. ASSUMPTION OF RISK
You accept and acknowledge:
19.1. Token prices are volatile and may drop to zero.
19.2. You are responsible for all fees, including failed transaction fees.
19.3. Lack of public interest may negatively impact Token values.
19.4. Regulatory changes may adversely affect Token use and value.
19.5. You are solely responsible for your tax obligations.
19.6. There are risks in peer-to-peer transactions, including counterfeit or buggy items.
19.7. Blockchain transactions are irreversible; Rosestar cannot reverse them.
19.8. Internet and blockchain products carry inherent risks including security vulnerabilities.
20. LIMITATIONS OF LIABILITY
20.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROSESTAR SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
20.2. OUR MAXIMUM AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) EUR 100; OR (B) THE AMOUNTS PAID BY YOU TO ROSESTAR IN THE 12 MONTHS PRECEDING THE CLAIM.
20.3. THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH, PERSONAL INJURY, FRAUD, OR GROSS NEGLIGENCE, OR ANY MANDATORY CONSUMER RIGHTS UNDER EU LAW.
21. DISPUTE RESOLUTION
21.1. Informal Resolution. Before initiating any formal dispute resolution, you agree to first contact us at support@rosestar.io to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.
21.2. Governing Law. These Terms are governed by and construed in accordance with the laws of France. If you are a consumer habitually resident in another EU member state, you also benefit from any mandatory provisions of consumer protection law in your country of residence.
21.3. Jurisdiction. Subject to Section 21.4, any disputes shall be submitted to the exclusive jurisdiction of the courts of Paris, France. If you are a consumer resident in the EU, you may also bring proceedings in the courts of your country of residence.
21.4. Consumer Rights. Nothing in these Terms affects your statutory rights as a consumer under applicable law, including any rights under EU consumer protection regulations. If you are a consumer resident in the EU, you cannot be required to waive any mandatory consumer protections.
21.5. EU Online Dispute Resolution. If you are a consumer in the EU, you may use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. We are not obligated to participate in alternative dispute resolution procedures, but may choose to do so.
21.6. Individual Claims. To the extent permitted by applicable law, you and Rosestar agree to bring any disputes only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. This clause does not apply where prohibited by applicable law.
22. TERM AND TERMINATION
22.1. Term. These Terms are effective when you first access or use the Services and continue until terminated.
22.2. Termination. If you violate these Terms, your authorization to use the Services automatically terminates. We may also terminate or suspend your account at our discretion, with or without cause, with or without notice. You may terminate your account at any time by contacting support@rosestar.io.
22.3. Effect of Termination. Upon termination: (i) your license rights end; (ii) you lose access to the Services; (iii) Sections 9, 10.1, 17, 18, 19, 20, 21, and 23 survive termination. You are responsible for saving any content you wish to retain before termination.
22.4. Crypto Assets. Termination of your account does not affect crypto assets held in your Wallet on the blockchain. You remain responsible for managing your Wallet and any assets therein.
23. MISCELLANEOUS
23.1. Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.
23.2. No Waiver. Our failure to enforce any right or provision does not constitute a waiver.
23.3. Assignment. You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
23.4. Entire Agreement. These Terms, together with our Privacy Policy, Creator Token Terms, and any other policies referenced herein, constitute the entire agreement between you and Rosestar.
23.4.1. No Fiduciary Relationship. Nothing in these Terms or your use of the Services creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Rosestar. Rosestar does not owe you any fiduciary duties with respect to Creator Tokens, your Wallet, or your use of the Services.
23.5. Electronic Communications. By using the Services, you consent to receiving electronic communications from us. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
23.6. Changes to Services. We may modify, suspend, or discontinue the Services or any features at any time without liability to you.
23.7. Beta Features. We may offer features designated as "beta," "preview," or "experimental." These features are provided as-is and may be modified or discontinued without notice.
